Lineage is seeking a Corporate Counsel – Europe to join their Legal Department in supporting a company in high growth mode. The Legal Department consists of 24 people globally, 7 of which are dedicated to Europe. The Europe region currently includes The Netherlands, Belgium, Germany, England, Scotland, Denmark, Norway, Poland, France, Italy and Spain.
Functie
The Corporate Counsel – Europe will be a sophisticated, business-oriented attorney that can work effectively across all levels of the organization. He or she will represent the European organization in a broad range of corporate, corporate governance and related areas and ensures the integrity of the corporate governance framework. Additionally, the Corporate Counsel – Europe may be exposed to other areas of law and will work directly with Lineage business leaders and Lineage’s private equity sponsor, Bay Grove Capital, on a variety of projects.

Functie-eisen
• Provide day-to-day legal advice and guidance on all corporate, corporate governance and related issues with respect to Lineage’s European organization.
• Ensure the integrity of the corporate governance framework, working closely with the General Counsel – Europe, the Deputy General Counsel & Assistant Corporate Secretary (Global) and the Legal Team members in the different regions in Europe, the European Leadership Team as well as regional and national leadership.
• Develop, implement and manage processes, procedures, policies and forms to harmonize and support the corporate governance framework and to ensure compliance with relevant legislation, regulatory requirements and governance guidelines applicable to Lineage’s European organization.
• Provide an efficient and effective company secretarial and administrative service for our European legal entities, including board and supervisory board support (such as scheduling meetings, drafting agendas, preparing board packs, taking minutes at meetings and following up on actions) and works council engagement.
• Manage statutory administration of the European entities, including maintaining statutory records, responsibility for appropriate filings and maintaining and updating internal databases and board portal (Diligent) with statutory documents and entity details.
• Prepare and coordinate corporate restructurings (such as incorporations, liquidations, distributions, contributions, and approvals of business matters) and corporate changes (for example amendment of articles of association, changes to (supervisory) board compositions) as well as facilitate notarizations, legalizations, and registrations.
• Support mergers, acquisitions, divestitures, joint ventures, intra-group transactions, integrations, and other corporate transactional activities, including integrations, internal processes, and other activities in furtherance of the Lineage’s global and European strategy.
• Advise on and structure and manage legal processes associated with the adoption and publication of financial statements and drafting and coordinating relevant documents.
• Support the legal implementation of Lineage’s operating guidelines and authority matrixes, which govern the global (internal) rules and regulations regarding decision-making and representation.
• Record keeping and responding to legal, regulatory, and other internal and external information requests, reviews and audits.
• Identify and keep track of relevant market developments and trends, new regulations, analyze potential implications for Lineage, and preparing presentations and legal advice.
• Provide effective functional leadership on various strategic and departmental projects both within the region and globally, including coordinating and directing third party advisors and colleagues from other Lineage functional groups.
• Work collaboratively, proactively, and responsively with a broad range of colleagues locally and internationally on a variety of legal and strategic projects, ensuring good relationships between Legal, Corporate Compliance & Ethics, HR, Finance & Accounting, Tax, Treasury, Business Development and other departments of Lineage and its affiliates to facilitate a coordinated team approach.
• Manage and liaise with external advisers e.g. lawyers and auditors.

Aanbod
• Approximately 4-7 years of relevant experience gained at a top tier law firm and/or as in-house lawyer. A mix of in-house and law firm experience would be a plus but is not required.
• Must have a Dutch law degree.
• Is a Dutch lawyer with a current practicing certificate or admission to practice (or with a willingness and ability to re-obtain such certificate or admission).
• Thorough understanding of corporate governance, corporate structures and corporate law.
• Experience and proven skills in corporate law and corporate governance, including international corporate (re)structuring and corporate finance (intragroup lending etc.). Experience with Diligent would be a plus.
• Strong business instincts and acumen.
• Willingness to work in a fast-paced, growing company and adjust quickly to change.
• Ability to manage multiple competing requests, ensure that projects are completed on a timely basis.
• Excellent interpersonal, client management and relationship and project management skills.
• Works well independently and within a team, including the ability to work closely with all levels of management and staff.
• Demonstrated ability to deal successfully with complex issues and a broad array of stakeholders.
• Ability to translate legal complexities into terms readily understood by management and line personnel.
